If you are entering into these Terms on behalf of a business or agency, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not agree with these Terms, you must not use or access our Website or Services.

If you do not accept these Terms, you may not use or access the Services. Please print and retain a copy for future reference.

  • Section A applies to all Users.
  • Section B applies to Agency Business Users only.

SECTION A – GENERAL TERMS (APPLICABLE TO ALL USERS)

1. Definitions

  • “Account” refers to the account created on STech Local by registering with an email and password.
  • “Agency Business User” means a business entity, including SEO agencies, consultants, developers, or marketers, that purchases Services on behalf of third-party clients.
  • “Beta Services” refers to services labeled “Beta,” “Trial,” or “Evaluation” for limited release or testing.
  • “Charges” refers to the fees payable by Users for access to STech Local’s Services, as listed on the Website.
  • “Client” means any third party who is not a direct User but benefits from the Services via an Agency Business User.
  • “Confirmation Email” confirms the creation of an Account.
  • “Contract” is the agreement formed between STech Local and a User for provision of Services.
  • “Login Details” means the email and password credentials used by a Registered User to access the Services.
  • “Non-Registered User” refers to anyone who browses the Website but has not created an Account.
  • “Registered User” means any User with an Account, either as a Local Business or Agency Business User.
  • “Services” refers to local SEO services, Google Business Profile optimization tools, and other digital products offered on the Website.
  • “Standard Terms” refers to agreements between Agency Business Users and their Clients.
  • “Subscription Service” includes tools and services accessible on a recurring payment basis.
  • “User” means all visitors to the Website, including Registered, Non-Registered, and Agency Users.
  • “User Submission” refers to any data, files, content, or materials submitted by Users on the Website.

2. Information About Us

The Website is owned and operated by Saman Technosys Private Limited.

By using our Services, you confirm that:

  • You are at least 18 years old;
  • You have the legal authority to enter into contracts;
  • You are using the Services in accordance with applicable laws.

3. Registration and Account Terms

  • To access Services, Users must register and create an Account on the Website.
  • You may only have one account per business. Duplicate accounts may result in termination.
  • Upon registration, you consent to verification checks and agree to keep your information up to date.
  • A Confirmation Email will be sent upon successful account creation.
  • A Purchase Confirmation Email will confirm acceptance of your order, at which point a binding contract is formed.
  • Subscriptions automatically renew monthly unless canceled. Charges are non-refundable.
  • You are responsible for providing accurate information and for keeping your login credentials secure.
  • STech Local may suspend or terminate your account if misuse is suspected.

4. User Obligations

You are responsible for all activity on your account. However, STech Local reserves the right to take appropriate legal action and suspend services in the event of misuse.

You must not:

  • Misuse or attempt to hack the Website;
  • Post or share offensive, illegal, or misleading content;
  • Infringe on third-party intellectual property;
  • Allow others to access your account;
  • Use the Services in violation of laws or these Terms.

5. Charges and Payments

  • Pricing is as listed on the Website unless an obvious error occurs.
  • All charges are inclusive of applicable taxes.
  • Payments must be made in advance unless otherwise agreed in writing.

6. Term and Termination

  • These Terms remain in force as long as you use the Services.
  • You may cancel your subscription at any time through your Admin Console or by contacting support.

  • STech Local may suspend or terminate your account if:

    • You breach these Terms;
    • Fraud or abuse is suspected;
    • Your payment fails;
    • You maintain multiple accounts;
    • Your behavior is deemed harmful to STech Local’s business or users.

7. Warranties and Disclaimers

  • The Services are provided “as is.” STech Local makes no warranties regarding performance, reliability, or outcomes.
  • You understand that rankings, leads, and business results are not guaranteed.
  • STech Local is not liable for any loss of data, business, profits, or goodwill.
  • Our liability shall not exceed the total amount paid by you in the preceding 12 months.

8. Intellectual Property

  • All content on the Website is owned or licensed by STech Local.
  • You may not copy, modify, or redistribute Website content without permission.
  • STech Local grants you a limited, non-transferable license to use the Services during your subscription term.

9. Data Privacy and Processing

  • Our Privacy Policy governs how we handle your data.
  • By using our Services, you agree to the terms of our Privacy Policy and Cookie Policy.
  • STech Local may use subprocessors or third-party services to process your data under data protection regulations, including the GDPR.

11. Beta Services

  • Beta Services may contain bugs or errors.
  • Use of Beta Services is at your own risk and is provided without warranty or support.

12. General Provisions

  • Failure to enforce any right or term shall not be deemed a waiver.
  • If any provision is found unenforceable, the remaining Terms will remain valid.
  • These Terms constitute the full agreement between you and STech Local.

13. Governing Law

  • These Terms are governed by the laws of India, and the courts of Mumbai, Maharashtra shall have exclusive jurisdiction over any disputes arising in connection with these Terms.

Section B: APPLICABLE TO AGENCY BUSINESS USER

Responsibilities of Agency Business Users

As an Agency Business User, you are responsible for maintaining a separate contractual agreement (“Standard Terms”) with each of your Clients prior to purchasing or using any Services through STech Local. You confirm that you will:

  1. comply with all applicable local and international laws, and
  2. use the website and services solely for lawful purposes and in accordance with these Terms.

STech Local provides Services to you, not directly to your Clients. Your use of the Services on behalf of Clients is governed solely by your own agreement with them. STech Local holds no responsibility or liability for how you use or deliver the Services to your Clients.

You are solely responsible for all communications with your Clients, including service delivery, performance issues, or access-related problems. STech Local will not intervene in any such matters.

Your relationship with STech Local is strictly that of an independent contractor. These Terms do not create any employment, partnership, agency, or joint venture relationship between you and STech Local. You may not act on behalf of, bind, or represent STech Local in any way.

Any violation of this clause (Responsibilities of Agency Business Users) will be considered a material breach of these Terms and may lead to immediate termination under (Terms & Termination).

These Terms govern your use of STech Local only. Your agreements with Clients are independent and not part of this contract.

Additional Warranties and Limitations of Liability

STech Local is not responsible for any business dealings, communications, payments, or disputes between you and your Clients.

You agree to resolve any conflicts or claims involving your Clients independently and release STech Local from any and all related liability or damages.

STech Local does not guarantee any specific outcomes, performance levels, or uninterrupted access to the Services.

You fully release STech Local from liability in connection with any disputes, claims, or issues that may arise between you and your Clients.

You agree to indemnify, defend, and hold harmless STech Local, its officers, employees, and affiliates from any and all direct claims, damages, losses, or expenses (including legal costs) that result from:

  1. your breach of these Terms; or
  2. any third-party claims, including from Clients, arising from your use of the Services.
